Morális Studio Terms of Service

Morális Studio ("Morális Studio," "we," "us")
1) Acceptance
By using moralis.studio, booking a discovery call, or engaging Morális Studio for services, you accept these Terms and our Privacy Policy. If you are engaging on behalf of a business, you represent that you are authorized to bind that business to these Terms.
2) Services
Morális Studio provides custom AI automation tools, workflow builds, and consulting services for small businesses. The specific scope, deliverables, timeline, and price for each engagement are agreed upon in writing (via email, proposal, or a signed statement of work) before work begins.
We reserve the right to decline or discontinue any engagement that falls outside our scope of expertise or conflicts with our values.
3) Payment
Project-based billing. Work is typically invoiced as a flat project fee agreed in advance. For ongoing retainer engagements, billing terms are stated in the agreement.
Deposit. Most projects require a deposit (typically 50%) before work begins. The remaining balance is due upon completion or at milestones stated in the project agreement.
Late payments. Invoices are due within 14 days of issue unless otherwise agreed. We reserve the right to pause work on any engagement with an overdue balance.
Refunds. Work completed and delivered per the agreed scope is non-refundable. If we are unable to deliver as agreed due to our own failure, we will make it right — either by completing the work or issuing a pro-rated refund for work not completed.
4) Intellectual Property
You own what we build for you. Upon receipt of full payment, you own all custom deliverables created specifically for your engagement — including automations, code, prompts, and configurations.
We retain our methods. Morális Studio retains ownership of general methodologies, frameworks, templates, and reusable components that are not unique to your business. We may reuse these in other engagements.
Your materials. You retain all rights to your existing content, data, brand assets, and business information. You grant us a limited license to use these materials solely to deliver your project.
5) Client Responsibilities
To deliver quality work on time, we depend on you to:
- • Provide timely access to tools, systems, and accounts needed for the project
- • Give clear, timely feedback at agreed milestones
- • Make a designated point of contact available throughout the engagement
- • Ensure any third-party tools or credentials you provide are legitimately yours to share
Delays caused by late responses or missing access may push back delivery timelines. We are not liable for project delays resulting from client-side blockers.
6) Confidentiality
Both parties agree to keep confidential any non-public business information shared during an engagement. This includes business processes, customer data, financial information, and anything shared in confidence.
We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to deliver your project (e.g., to a platform or tool we integrate on your behalf).
Confidentiality obligations survive termination of the engagement for a period of three (3) years.
7) Limitation of Liability
To the maximum extent permitted by law, Morális Studio's total liability for any claim arising out of or related to our services is limited to the amount you paid us in the three months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we were advised of the possibility of such damages.
We are not responsible for issues caused by third-party platforms (e.g., API outages, pricing changes, or policy updates from tools like OpenAI, Zapier, Airtable, or others) that affect automations we build for you.
8) Termination
By you. You may terminate an engagement at any time by notifying us in writing. You are responsible for payment for all work completed up to the termination date. Deposits are non-refundable once work has begun.
By us. We may terminate an engagement if you breach these Terms, fail to pay, or if continuing the engagement is no longer feasible. In such cases, we will deliver all completed work and invoice you for work done to date.
9) Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of California.
10) Changes to These Terms
We may update these Terms from time to time. Material changes will be posted at moralis.studio/terms with an updated "Last Updated" date. Continued engagement with Morális Studio after changes are posted constitutes acceptance.
